Constitution of The United Kingdom Chapter of the System Dynamics Society Inc. (the Chapter)

A Chapter of the System Dynamics Society, Inc. (the Society)

12 February, 1999

1. Name

The Chapter shall be known by the name:

The United Kingdom Chapter of the System Dynamics Society, Inc.

2. Objectives

The objectives of the Chapter shall be, especially in the United Kingdom, to:

identify, extend and unify knowledge contributing to the understanding of feedback systems;

promote the development of the field of System Dynamics and the free interchange of learning and research in all related fields;

encourage and develop educational programmes in the behaviour of systems.

To accomplish these objectives the Chapter proposes to conduct chapter meetings and, where appropriate, to publish books and other materials.

3. Membership

There shall be two categories of membership in the Chapter. Any member in good standing of the Society living or working in the United Kingdom shall be entitled to be a Full Member of the Chapter and shall be entitled to vote and hold office in the Chapter. Other persons with an interest in System Dynamics may be Associate Members but shall not have voting or office holding rights.

4. The Policy Council

The Chapter shall be governed by a Policy Council. The Policy Council shall consist of a President, at least two but not more than five Vice Presidents, and a Secretary. One Vice President shall be responsible for liaison with the Society. The Policy Council shall determine the duties and responsibilities of the other Vice Presidents as seems expedient.

The Policy Council shall determine the number of Vice Presidents to hold office at any given time, subject to ratification by Full Members at the Annual Meeting.

The inaugural Policy Council of the Chapter shall determine the procedure for succession to the Policy Council bearing in mind the need to promote System Dynamics in the United Kingdom, and particularly the need to encourage younger members.

The President of the Chapter shall hold office for not more than two years and shall not be eligible for immediate re-election as President or to the Policy Council.

The Policy Council of the Chapter shall have the power to co-opt to fill any vacancy pending the Annual Meeting of the Chapter.

The quorum for meetings of the Policy Council shall be the President or the Secretary together with half the number of Vice-Presidents rounded up to the next whole number.

5. Meetings

The Chapter shall hold a meeting at least annually. Such a meeting may be held during, with, but not interfering with, the International Conference of the System Dynamics Society Inc. Business and election of officers will be dealt with in the meeting.

6. Elections

All Full Members of the Chapter in good standing shall be entitled to vote. The elections shall be held at the Annual General Meeting of the Chapter.

The Policy Council of the Chapter shall have the power to nominate to any vacancy.

Not less than one month before the Annual General Meeting, the Secretary shall notify all Full Members of any impending vacancies. Any three Full Members shall have the power to make their own nomination and shall notify the Secretary not less than 7 working days before the Annual General Meeting.

In the event of there being two or more candidates for office, that person having the larger, or largest, number of votes of those Full Members present at the Annual General Meeting shall be elected.

7. Publications

The Chapter may choose to publish a journal, newsletter and books. Such publications will:

not represent themselves as publications of the System Dynamics Society, Inc.;

be related to the particular interests of the Chapter.

The membership list and the minutes of the meetings of the Chapter's Policy Council shall be available to all Full Members of the Chapter on application to the Secretary. No person shall make commercial use of this information. The Chapter's Policy Council shall have the power to deprive any person found to have done so of privileges of membership of the Chapter.

8. Conferences

The Chapter may choose to hold conferences as long as those conferences:

do not present themselves to be conferences of the System Dynamics Society, Inc.;

do not interfere with the annual conference of the Society;

have at least one month between them and the annual conference of the Society.

Expenses and profits from any Chapter Conferences are the responsibility of the Chapter.

9. Dues

The Policy Council of the Chapter shall have the power to charge dues in an amount and currency of its choice. Payment of Chapter dues shall be made directly to the Chapter.

Payment of Society Dues shall be made directly to the Society. The Society will not collect any dues on behalf of the Chapter, nor will the dues it charges depend on membership in the Chapter.

10. Chapter Society Interaction

The Chapter's Vice President for Society Liaison shall be listed in the official Society Letterhead.

The Society Council will review annually a report of activities, finances and membership submitted by the Chapter. The report will include the names of all officers of the Chapter. Attached to the report will be copies of all publications of the Chapter, as well as a complete membership listing.

The Vice President for Society Liaison shall be informed of, and invited to, all meetings of the Society Council except under extraordinary circumstances. The Vice President for Society Liaison shall receive minutes from all meetings of the Council.

The Society will, upon request and up to twice per year, provide the Chapter with a list of its members.

11. Change to this Constitution

This Constitution shall only be changed after a vote of the Full Members and subject to ratification by the Policy Council of the System Dynamics Society, Inc.

12. Address of the Chapter

The Chapter's address for correspondence shall be Dr David Exelby, HVR-CSL, Selborne House, Mill Lane, Alton, Hampshire GU34 2QJ, United Kingdom. Any change to this address shall be promptly notified to the Society's Vice President for Member & Chapter Activites.
